Personal Use Only
You agree to use this Data together with[insert name of Client Application] for thesolely personal, non-commercial purposesfor which you were licensed, and not forservice bureau, time-sharing or other similarpurposes. Accordingly, but subject to therestrictions set forth in the followingparagraphs, you may copy this Data only asnecessary for your personal use to (i) view

Restrictions
Except where you have been specificallylicensed to do so by NAV2 , and withoutlimiting the preceding paragraph, you maynot (a) use this Data with any products,systems, or applications installed orotherwise connected to or in communicationwith vehicles, capable of vehicle navigation,positioning, dispatch, real time routeguidance, fleet management or similarapplications; or (b) with or in communicationwith any positioning devices or any mobileor wireless-connected electronic or computer
devices, including without limitation cellularphones, palmtop and handheld computers,pagers, and personal digital assistants orPDAs. You agree to cease using this Data ifyou fail to comply with these terms andconditions.
Limited Warranty
NAV2 warrants that (a) the Data will performsubstantially in accordance with theaccompanying written materials for a periodof ninety (90) days from the date of receipt,and (b) any support services provided byNAV2 shall be substantially as described inapplicable written materials provided to youby NAV2, and NAV2’s support engineers willmake commercially reasonable efforts tosolve any problem issues.
rigCustomer Remedies
NAV2 and its suppliers’ entire liability andyour exclusive remedy shall be, at NAV2’ssole discretion, either (a) return of the pricepaid, if any, or (b) repair or replacement ofthe Data that do not meet NAV2’s LimitedWarranty and that are returned to NAV2 witha copy of your receipt. This Limited Warranty
is void if failure of the Data has resulted fromaccident, abuse, or misapplication. Anyreplacement Data will be warranted for theremainder of the original warranty period orthirty (30) days, whichever is longer. Neitherthese remedies nor any product supportservices offered by NAV2 are availablewithout proof of purchase from an authorizedinternational source.
No Other Warranty:
EXCEPT FOR THE LMITED WARRANTY SETFORTH ABOVE AND TO THE EXTENTPERMITTED BY APPLICABLE LAW, NAV2AND ITS LICENSORS (INCLUDING THEIRLICENSORS AND SUPPLIERS) DISCLAIMANY WARRANTIES, EXPRESS OR IMPLIED,OF QUALITY, PERFORMANCE,MERCHANTABILITY, FITNESS FOR APARTICULAR PURPOSE, OWNERSHIP ORNON-INFRINGEMENT. The Data are owned by NAV2 or its suppliersand are protected by applicable copyrightand other intellectual property law andtreaties. The Data are provided solely on thebasis of a license to use, not sale.
Entire Agreement
These terms and conditions constitute theentire agreement between NAV2(and itslicensors, including their licensors andsuppliers) and you pertaining to the subjectmatter hereof, and supersedes in theirentirety any and all written or oralagreements previously existing between uswith respect to such subject matter.
Governing Law.
The above terms and conditions shall begoverned by the laws of the People’sRepublic of China, without giving effect to (i)its conflict of laws provisions, or (ii) the UnitedNations Convention for Contracts for theInternational Sale of Goods, which isexplicitly excluded. 4. Use of SUNA Products and Serviceswhile driving
You, and other authorised drivers of thevehicle in which SUNA Products and/orServices are available or installed and active,remain at all times responsible for observingall relevant laws and codes of safe driving.In particular, you agree to only activelyoperate SUNA Products and/or Serviceswhen the Vehicle is at a complete stop andit is safe to do so.
5. Service Continuity and Reception of theSUNA Traffic Channel
We will use reasonable endeavours toprovide the SUNA Traffic Channel 24 hoursa day, 365 days a year. The SUNA TrafficChannel may occasionally be unavailable fortechnical reasons or for plannedmaintenance. We will try to performmaintenance at times when congestion islight. We reserve the right to withdraw SUNAProducts and/or Services at any time.
Also, we cannot assure the uninterruptedreception of the SUNA Traffic ChannelRDS-TMC signal at any particular location.
6. Limitation of Liability
Neither Intelematics (nor its suppliers or themanufacturer of your device (the“Suppliers”)) shall be liable to you or to anythird party for any damages either direct,indirect, incidental, consequential orotherwise arising out of the use of or inabilityto use SUNA Products and/or Services evenif Intelematics or a Supplier has been advisedof the possibility of such damages. You alsoacknowledge that the neither Intelematicsnor any Supplier guarantees nor make anywarranties that relate to the availability,accuracy or completeness of SUNA Products
and/or Services, and to the extent which itis lawful to do so, both Intelematics and eachSupplier excludes any warranties whichmight otherwise be implied by any State orFederal legislation in relation to SUNAProducts and/or Services.
